Joseph A. Baratta, Esq. works with corporate, real estate, and business clients on a wide variety of highly sophisticated business and transactional matters including mergers and acquisitions, capital raising transactions, private placements, reverse mergers, and general corporate compliance. He also represents a number of not-for-profits in issues ranging from formation, governance and compliance. Joseph brings exceptional value to all of his clients because of his ability to draw on his business experience when providing legal representation. He not only supplies legal guidance and acumen, but also has a deep appreciation of the financial and business considerations that are at stake in any given situation. As a result, he approaches each representation with an eye toward the client’s unique business needs and particular priorities. He handles complicated business transactions at the same time that he supplies his clients with guidance on many of the more routine operational aspects of a business.
Representative Transactions
Joseph has represented numerous fully reporting public companies in all aspects of compliance as well in general corporate matters ranging from contracts, employment, intellectual property and taxation to mergers and acquisitions. He has worked with public companies in all aspects of reporting with the Securities and Exchange Commission including annual, quarterly and periodic reports and has participated in numerous Secondary Offerings. He also works with privately held companies as well as professional athletes in aspects of legal representation. He has recently represented two companies in a $65 million merger that required Federal Trade Commission approval. Additionally. He currently represents several real estate investment companies and has served as counsel in the purchase and sale of multifamily properties with a combined market value in excess of $100 million. Joseph also represents numerous not-for-profits in all aspects of operation and governance.
